What is a Memorandum of Incorporation (MOI)?

The MOI is a company's founding document under the Companies Act 71 of 2008, governing the rights and duties of shareholders and directors. Companies still operating on old-order articles of association should have their MOI reviewed and amended for compliance.

Do I need a shareholder agreement if I have an MOI?

In most cases, yes. A shareholder agreement regulates matters the MOI does not — exit mechanisms, deadlock resolution, restraints, funding obligations — and prevents costly disputes between shareholders later.
